BY-LAWS
of the
SOUTH DAKOTA BANDMASTERS
ASSOCIATION
CONSTITUTION
ARTICLE I - Name
This organization shall be known as the South
Dakota Bandmasters Association
ARTICLE II - Object
The object of this organization shall be:
To promote mutual cooperation, friendship,
and fellowship among the band directors of the State of South Dakota.
To cooperate with and aid any other music
association.
To make suggestions and to recommend measures
for the welfare of its members.
To promote a free exchange of ideas.
To improve the professional efficiency of its
members.
To encourage a genuine spirit of professional
ethics.
To work in close cooperation with school
administrators in order that the program of the South Dakota Bandmasters Association will
be in harmony with the school program as a whole.
To do all possible to raise the standard of
music in all forms in South Dakota.
To further the development of music in the
schools and school systems of South Dakota.
ARTICLE III - Membership
Active membership shall include:
Any bandmaster or person actively engaged in
directing or teaching music.
Associate membership shall include:
Interested parties who do not meet the
qualifications of active membership, such as:
Music publishing firms.
Musical instrument manufacturing companies.
Music dealers or their representative.
Honorary membership shall include:
Former active members retired from directing
bands or teaching music.
Any other eminent bandmaster or other
musician, who has:
Contributed in a noteworthy manner to the
advancement of bands or band literature or music in the State of South Dakota.
Been elected to honorary membership by the
members of the South Dakota Bandmasters Association.
ARTICLE IV - Officers
The officers of the South Dakota Bandmasters
Association shall consist of a President, a President-Elect, a Secretary-Treasurer, and
four Board members. These officers, plus the immediate Past-President, shall constitute
the Executive Board.
The President, the President-elect, the
Secretary-Treasurer, and two Board members shall be elected at the annual business meeting
that falls on odd-numbered years.
All officers shall take office immediately
after the adjournment of the business meeting in which they were elected. Board members
shall hold office four years, with two retiring every off-numbered year. All officers shall
hold office for two years, or until their successors shall be elected and qualified.
ARTICLE V - Meetings
The South Dakota Bandmasters Association
shall meet annually at such time and place as may be selected at the annual meeting or as
may be selected by the Executive Board
The Executive Board shall have charge of all
business appertaining to the Association and its members between meetings which, in the
judgment of the President, cannot wait until the next meeting of the Association.
All meetings of this Association shall be
governed by Robert's Rules of Order. The representative of the South Dakota High School
Activities Association shall serve as parliamentarian for each meeting.
A quorum for the annual business meeting
shall consist of the members present. A quorum for the Executive Board shall consist of
four members.
The order of business at regular meetings
shall be:
Roll call of officers.
Reading of minutes of last regular meeting
and any special meetings.
Report of the Secretary-Treasurer.
Reports from Standing Committees.
Reports from Special Committees.
Reports of sickness or distress.
Communications.
Unfinished business.
New business.
Selection of annual meeting site and date.
Good of the Association
Election of officers (odd years) or
nominating committee (even years).
Adjournment.
ARTICLE VI - Elections
Election of Association Officers shall be
held during the annual business meeting that falls on odd-numbered years.
Election of a Nominating Committee shall be
held during the annual business meeting that falls on even-numbered years. The member
receiving the largest number of votes shall serve as chairman of the committee. The
Nominating Committee shall consist of five members.
The Nominating Committee shall present a
minimum of two candidates for each of the two Board positions, a minimum of two candidates
for President-Elect, and one candidate for Secretary-Treasurer.
Board members shall be nominated and elected
to facilitate representation from all parts of the state according to the present State
Music Regions. Each Board members shall be chosen from and shall represent two regions.
One member shall represent Regions I and II, Regions III and IV, Regions V and VI, and
Regions VII and VIII.
Additional nominations may be made from the
floor for any office.
Voting shall be by secret ballot.
ARTICLE VII - Amendments
The Constitution of the South Dakota
Bandmasters Association may be amended in the following manner:
The proposed amendment must have received the
approval of the Executive Board prior to being brought to the membership.
Formal notice of the proposed amendment must
be made available to the membership twelve hours before it is to be voted upon.
The proposed amendment must receive
two-thirds approval from the members present at the annual business meeting where the vote
is held.
ARTICLE VIII - By-Laws
Any motion passed at a regular business
meeting of the Association which provides for a permanent practice shall be dated and
become a part of the By-Laws and, therefore, filed and permanently preserved.
By-Laws may be adopted by the members of the
Association at any regular business meeting to amend previous By-Laws, and when adopted
will automatically nullify any previous by-Laws of the Association which are in conflict
with the same.
